By accessing or using ProTally ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

ProTally is a continuing education tracking platform that helps licensed professionals track their CE credits and maintain compliance with licensing requirements.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as necessary
  • Maintain the security of your password
  • Accept responsibility for all activities under your account

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. User Content

4.1 Your Content

You retain ownership of any content you upload to the Service, including certificates and documents. By uploading content, you grant us a license to use, store, and process that content as necessary to provide the Service.

4.2 Content Restrictions

You agree not to upload content that:

  • Violates any law or regulation
  • Infringes on intellectual property rights
  • Is fraudulent, false, or misleading
  • Contains viruses or malicious code

5. Payment Terms

5.1 Fees

Access to certain features of the Service requires payment of fees. All fees are in U.S. dollars and are non-refundable unless otherwise stated.

Fees are billed in advance on a monthly or annual basis. You agree to pay all fees associated with your use of the Service.

5.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

The Service and its original content, features, and functionality are owned by ProTally and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

9. Indemnification

You agree to indemnify and hold harmless ProTally and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms or for any other reason.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
